Affxnet LLC Terms *

STANDARD AFFILIATE TERMS AND CONDITIONS

(Affxnet)

These Standard Affiliate Terms and Conditions (“Terms” or “T&Cs”) are entered into as of the date of electronic acceptance (“Effective Date”) through Everflow or any successor electronic tracking or reporting platform (collectively, the “Platform”), by and between Affxnet LLC, a Wyoming limited liability company (or its successor legal entity) (“Affxnet”), and the individual or legal entity accepting these Terms (“Affiliate”). Affxnet and Affiliate may be referred to individually as a “Party” and collectively as the “Parties.”

Temporary Entity Notice:
Until formal incorporation is completed, “Affxnet LLC” refers to the operating business known as Affxnet. Upon formation, the legal entity name shall automatically replace this reference without requiring amendment.

1. BACKGROUND

1.1 Affxnet operates a performance-based affiliate marketing network providing lead generation, customer acquisition, install, call, and related marketing services to third-party advertisers (“Advertisers”).

1.2 Advertiser-specific terms, payouts, caps, traffic rules, and requirements are defined in insertion orders, campaign agreements, or platform postings (“Campaign Agreements”).

1.3 Affiliate represents that it possesses the experience, systems, and expertise necessary to perform marketing services in compliance with applicable laws and these Terms.

1.4 These Terms govern all Campaign Agreements between Affxnet and Affiliate unless expressly stated otherwise.

2. DEFINITIONS

“Agreement” means these T&Cs together with all Campaign Agreements.

“Lead” means a consumer action including, without limitation, form submission, call, install, click, or other event defined in a Campaign Agreement.

“Qualified Lead” means a Lead that meets all campaign requirements and is not Invalid, Duplicate, or Fraudulent.

“Invalid Lead” means a Lead containing incomplete, false, restricted, or non-compliant data.

“Duplicate Lead” means a Lead previously submitted within the restricted lookback period.

“Fraudulent Lead” means any Lead generated through deception, automation, bots, manipulation, incentives (unless approved), misrepresentation, or prohibited methods.

3. SERVICES & CAMPAIGN PARTICIPATION

3.1 Affiliate may participate in campaigns only after explicit approval by Affxnet.

3.2 Affiliate shall promote campaigns strictly in accordance with the applicable Campaign Agreement.

3.3 Affxnet may modify, cap, pause, or terminate any campaign at its sole discretion.

4. TRAFFIC & MARKETING RESTRICTIONS

Unless expressly approved in writing, Affiliate shall not:

Use incentivized traffic

Use bots, scripts, automation, or artificial traffic

Mislead users or falsify information

Violate platform terms (Google, Meta, TikTok, etc.)

Impersonate brands or misrepresent offers

Target restricted geographies or minors

Engage in spam, unsolicited email, or unauthorized messaging

Violation may result in non-payment, reversal, or termination.

5. CREATIVE & CONTENT APPROVAL

5.1 Affiliate may use only creatives approved by Affxnet.

5.2 Any modification of creatives requires prior written approval.

5.3 Affxnet may require removal of any creative at any time.

6. EMAIL MARKETING (IF APPROVED)

6.1 Email traffic is permitted only with prior written approval.

6.2 Affiliate must comply with:

CAN-SPAM Act

Opt-in consent requirements

Clear sender identification

Functional unsubscribe mechanism

6.3 Affxnet may audit opt-in records at any time.

7. SMS / MESSAGING (IF APPROVED)

7.1 SMS or messaging traffic requires:

Prior express written consent (TCPA compliant)

Approved consent language

Immediate opt-out capability

7.2 Non-compliant messaging traffic shall be deemed Fraudulent.

8. SUB-AFFILIATES / NETWORK MEMBERS

8.1 If Affiliate operates a sub-affiliate network, Affiliate is fully responsible for all sub-affiliate actions.

8.2 Affxnet may require identification, verification, or removal of any sub-affiliate.

9. COMPLIANCE & FRAUD MONITORING

9.1 Affxnet may use internal systems and third-party tools to detect fraud.

9.2 Payments may be held pending investigation.

9.3 Affxnet’s determination regarding fraud shall be final unless proven otherwise.

10. PAYMENTS

10.1 Payment terms are defined per campaign.

10.2 Standard payment terms are Net-30, unless otherwise specified.

10.3 Affxnet is not liable for non-payment by Advertisers.

10.4 All payments are in USD.

11. TAXES

Affiliate is solely responsible for all applicable taxes, fees, and reporting obligations.

12. TERMINATION

12.1 Either Party may terminate this Agreement at any time.

12.2 Affxnet may immediately terminate for fraud, compliance violations, or reputational risk.

13. CONFIDENTIALITY

Each Party agrees to protect all confidential business, technical, and financial information.

14. REPRESENTATIONS & WARRANTIES

Affiliate represents that:

All traffic is lawful and compliant

No rights are infringed

No misleading practices are used

15. DISCLAIMER OF WARRANTIES

Services are provided “AS IS” without warranties of any kind.

16. LIMITATION OF LIABILITY

Affxnet shall not be liable for indirect or consequential damages.
Maximum liability shall not exceed amounts paid in the prior six (6) months.

17. INDEMNIFICATION

Affiliate agrees to indemnify and hold harmless Affxnet from all claims arising from Affiliate’s actions, traffic, or violations.

18. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of the State of Wyoming, USA.
Exclusive jurisdiction shall lie in Wyoming courts.

19. MISCELLANEOUS

Independent contractor relationship

No assignment without consent

Electronic acceptance is binding

Severability applies

Campaign Agreements control conflicts

20. EFFECTIVE DATE

These Terms are effective upon electronic acceptance and apply to all Campaign Agreements.
